End User License Agreement

This End User License Agreement (EULA or Agreement) is a legally binding contract between Vignette Studio (Licensor) and you, or the entity you represent (Licensee), governing the use of font software (Fonts). By downloading, installing, or using the Fonts, you acknowledge that you have read, understood, and agreed to the terms of this EULA.

If you are entering into this Agreement on behalf of a company or organization, you represent and warrant that you have the authority to bind the entity to the terms of this Agreement. Unauthorized use of the Fonts or violation of this Agreement may result in termination of the license and potential legal action.

If you do not agree to these terms, do not download, install, or use the Fonts. For questions regarding the scope of this Agreement, contact Vignette Studio before proceeding.

1. Definitions

  • Font Software refers to digital software that generates typeface designs licensed by Vignette Studio.
  • The Licensee is the individual, company, or entity purchasing the license to use the Fonts.
  • The Licensor is Vignette Studio, operated by Melih Uçan.
  • Permitted Users include employees or contractors authorized to use the Fonts for the Licensee’s internal business purposes.
  • Order Confirmation is the receipt or document issued upon the purchase of Fonts, detailing the scope of the license.

2. Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable, and non-assignable license to use the Font Software under the terms outlined in this Agreement. Ownership of the Font Software, including all copyrights, trademarks, and intellectual property rights, remains exclusively with the Licensor. This license permits the Licensee to install and use the Font Software strictly for the scope and purposes defined by the purchased license type (e.g., Desktop, Web, App, or Broadcasting).

The license is limited to the specified number of installations, users, pageviews, downloads, or audience reach, depending on the license type. Exceeding these limits requires the purchase of an upgraded license. The Licensee agrees to ensure that any authorized users, including employees and contractors, comply with this Agreement, and any misuse by such users will be deemed the Licensee’s responsibility.

The Licensee may create a single backup copy of the Font Software for archival purposes, provided it is stored securely and used solely for recovery. Unauthorized distribution, sublicensing, embedding, or modification of the Font Software is strictly prohibited and may result in termination of the license.

The Licensor reserves the right to revoke the license if the Licensee breaches any terms of this Agreement. Upon termination, the Licensee must immediately cease all use of the Font Software, delete all copies in their possession, and confirm compliance with this requirement to the Licensor.

All rights not explicitly granted under this Agreement are reserved by the Licensor. Any additional uses, such as embedding in software, broadcasting, or resale templates, require prior written permission and a separate license.

3. Permitted Uses

This section outlines the specific ways in which the Font Software may be used under the terms of your purchased license. Each license type grants unique rights tailored to different use cases, such as print, digital, or broadcast media. The Licensee must adhere to these permissions and ensure compliance with all limitations specified in this Agreement.

3.1. Desktop License

  • The Fonts can be used to create physical print materials such as brochures, books, flyers, posters, business cards, and packaging, intended for distribution or display.
  • The Fonts can be used to design static logos and branding elements, provided they are saved and shared as non-editable files to prevent unauthorized extraction or reuse.
  • Digital assets, including advertisements, presentations, and social media content, may be created using the Fonts, as long as the output is exported in rasterized or vectorized formats.
  • The Fonts may be embedded in static digital documents, such as PDFs, ensuring that the embedded Fonts are secure and cannot be extracted or modified.
  • Service providers, such as printers, may be granted temporary access to the Fonts for specific projects, with the requirement that all copies are deleted upon project completion.

3.2. Web License

  • The Fonts may be embedded on websites using @font-face CSS rules, provided the usage complies with the pageview limits outlined in the license agreement.
  • Digital advertisements designed with the Fonts must be exported as rasterized formats and must not include editable or extractable elements to ensure security and compliance.
  • The Fonts can be used in staging and development environments to test and preview content, provided the final published website adheres to the terms of the Web License.
  • The Licensee is responsible for monitoring website traffic and must secure a license upgrade if pageview limits are exceeded to ensure compliance with the agreement.

3.3. App License

  • The Fonts may be embedded in mobile applications, desktop software, or other digital platforms, provided the usage adheres to the active user or download limits specified in the license agreement.
  • Static interface elements such as menus, buttons, and labels are permitted to use the Fonts, while dynamic or editable text fields require explicit additional permissions or a separate license.
  • The Fonts may be utilized across multiple platforms, such as iOS, Android, and Windows, as long as the combined usage remains within the terms of the license agreement.
  • If the active user base or the number of downloads exceeds the limits outlined in the license, the Licensee must purchase an upgraded license to ensure compliance.

3.4. Broadcasting License

  • The Fonts may be used in video content, including advertisements, films, television broadcasts, and other audiovisual media, for purposes such as on-screen titles, credits, lower-thirds, and graphical overlays.
  • Content distributed on streaming platforms or online video-sharing services may include the Fonts, provided the usage adheres to the geographic, audience reach, or platform-specific limitations outlined in the license agreement.
  • The Fonts may be used in static signage or other non-interactive elements within video content, ensuring they remain non-editable and inaccessible to end users or viewers.
  • Advertising campaigns utilizing the Fonts for television, cinema, or digital platforms must comply with the specific distribution, duration, and scope limits defined in the Broadcasting License.
  • The Licensee is responsible for ensuring that all usage under the Broadcasting License complies with the intended audience size, region, and distribution platform terms, and obtaining any necessary license upgrades for expanded campaigns.

4. Restrictions

  • The Fonts may not, under any circumstances, be redistributed, sublicensed, shared, or otherwise made available to unauthorized third parties, including clients, contractors, or other entities, unless explicitly permitted by the Licensor in writing.
  • The Fonts must not be stored on publicly accessible servers, repositories, or platforms where they can be accessed, downloaded, or used by individuals or organizations without an appropriate license.
  • Dynamic embedding of the Fonts in websites, mobile or desktop applications, or any other digital products is strictly prohibited unless the Licensee has obtained a specific Web or App License permitting such use.
  • Modification of the Fonts, including altering, reverse-engineering, decompiling, or creating derivative typefaces or other products based on the Font Software, is strictly forbidden. The Fonts must be used as provided without unauthorized manipulation or adaptation.
  • The Licensee must adhere to the usage limits specified in their license, including but not limited to pageviews, active users, or download counts. Exceeding these limits requires the purchase of an appropriate license upgrade to remain in compliance with this Agreement.
  • The Fonts may not be incorporated into products intended for resale or distribution, such as stickers, rubber stamps, die-cut lettering, or digital alphabet sets, without obtaining explicit written permission from the Licensor.
  • The Fonts must not be used for any purpose that violates laws or regulations, including but not limited to illegal, defamatory, harmful, or fraudulent activities. Any misuse of the Fonts in violation of this clause constitutes a breach of this Agreement.
  • The Fonts may not be embedded in editable document templates, such as those intended for use in platforms like Microsoft Word, Google Docs, or similar applications, where end users can manipulate or extract the Fonts without a proper license.
  • The Licensee may not upload the Fonts to cloud-based design tools or platforms, such as Canva or Figma, unless the tool provides robust security to prevent unauthorized access or extraction of the Fonts and the Licensee’s use complies with the user limits of their license.
  • The Fonts must not be used in machine learning or artificial intelligence technologies, such as training AI models or generating synthetic text or graphics, without prior written authorization from the Licensor.
  • The Licensee is responsible for safeguarding the Fonts against unauthorized use or distribution. Any breach of this Agreement, whether intentional or accidental, may result in immediate termination of the license and legal action by the Licensor.

5. Intellectual Property

All rights, title, and interest in the Fonts, including but not limited to copyrights, trademarks, trade secrets, and other intellectual property rights, are and will remain the sole and exclusive property of Vignette Studio. The Fonts are protected by international copyright laws, treaties, and other applicable intellectual property regulations. The Licensee is granted only the limited rights expressly set forth in this Agreement; no other rights, title, or interest are transferred to the Licensee under any circumstances.

Unauthorized use, duplication, modification, or redistribution of the Fonts constitutes a breach of this Agreement and a violation of intellectual property laws. Such violations may result in immediate termination of the license, legal action, and liability for damages incurred by Vignette Studio. The Licensee agrees not to remove, obscure, or alter any proprietary notices, including copyright and trademark notices, embedded in the Fonts or associated materials.

By using the Fonts, the Licensee acknowledges and agrees that the Fonts represent original works of authorship and proprietary assets of Vignette Studio, created through significant effort, skill, and investment. Any unauthorized attempt to replicate, reverse-engineer, or create derivative works from the Fonts is strictly prohibited.

The Licensor reserves all rights not expressly granted under this Agreement, including the right to take legal or equitable action to protect and enforce its intellectual property rights against unauthorized use or infringement.

6. Indemnification

The Licensee agrees to indemnify and hold Vignette Studio harmless against any claims, losses, damages, or expenses, including legal fees, arising from the unauthorized, improper, or unlawful use of the Fonts. This includes, but is not limited to, violations of this Agreement, infringement of intellectual property rights, or misuse of the Fonts in ways not permitted by the license.

The Licensee assumes full responsibility for ensuring that all users, contractors, or third parties using the Fonts under their control comply with this Agreement. Any breach by such parties will be treated as a breach by the Licensee.

7. Termination

This Agreement remains effective until terminated. Termination occurs immediately if the Licensee breaches any terms, including unauthorized use, distribution, or modification of the Fonts.

Upon termination, the Licensee must stop all use of the Fonts and delete all copies from systems, devices, and storage. The Licensee must confirm in writing to the Licensor that all copies have been permanently removed.

Termination does not exempt the Licensee from obligations incurred before termination, including payments or damages for violations. The Licensor reserves the right to pursue legal remedies for any breach.

8. Governing Law

This Agreement is governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions.

Any disputes, claims, or controversies arising from or relating to this Agreement shall be resolved exclusively in the courts of Turkey. By agreeing to these terms, the Licensee consents to the jurisdiction of these courts and waives any objections to jurisdiction, venue, or forum non conveniens.
